Robinson Energy Completes Reverse Takeover of Cobra Venture

On June 17, 2026, Robinson Energy Limited ("Robinson") completed its reverse takeover transaction involving Cobra Venture Corporation ("Cobra") to form Robinson Energy Limited (formerly Cobra Venture Corporation) (the “Corporation”), a TSX Venture Exchange (“TSXV”) listed issuer. Cobra acquired all of the issued and outstanding shares of Robinson by way of a three cornered amalgamation, involving Robinson and a subsidiary of Cobra amalgamating to form Robinson Energy Canada Ltd., which continues as a wholly-owned subsidiary of the Corporation. In connection with the transaction, Cobra changed its name to “Robinson Energy Limited”, consolidated its shares on a 10:1 basis, and issued 14,796,887 common shares to former Robinson shareholders at a deemed price of C$2.00 per share. The Corporation will continue the business of Robinson, an energy company focused on the development of liquids-rich natural gas resources in Papua New Guinea for Asian LNG markets, as a Tier 2 Oil and Gas Issuer on the TSXV.
